1. Agreement to Terms

By accessing or using Handipay ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Handipay. Please read them carefully before using our platform.

2. Description of Service

Handipay provides a payment and invoicing platform designed for Canadian tradespeople. Our services include:

  • Creating and sending digital invoices
  • Accepting payments via credit card and other methods
  • Managing customer information and payment history
  • Generating receipts and payment records
  • Calculating and tracking applicable taxes

Payment processing is provided by Stripe. By using our payment features, you also agree to Stripe's Connected Account Agreement.

3. Account Registration

3.1 Eligibility

To use Handipay, you must:

  • Be at least 18 years of age
  • Be a resident of Canada or operate a Canadian business
  • Have the legal authority to enter into binding contracts
  • Not be prohibited from using payment services under applicable law

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We may suspend or terminate accounts with inaccurate information.

4. Merchant Accounts

4.1 Verification Requirements

To accept payments, you must complete our merchant verification process, which includes providing:

  • Personal identification information
  • Business registration details (if applicable)
  • Bank account information for payouts
  • Tax registration numbers (GST/HST, if registered)

4.2 Prohibited Activities

You may not use Handipay for:

  • Illegal goods or services
  • Fraudulent or deceptive practices
  • Money laundering or terrorist financing
  • Adult content, gambling, or controlled substances
  • Any activity that violates Stripe's Prohibited Business List

4.3 Reserve Rights

We reserve the right to hold funds, delay payouts, or terminate accounts if we suspect fraudulent activity, excessive chargebacks, or violation of these Terms.

5. Payments and Fees

5.1 Processing Fees

Payment processing fees are charged per transaction. Current fees are displayed during invoice creation and in your account settings. We may update fees with 30 days notice.

5.2 Payouts

Funds from successful payments are transferred to your connected bank account according to the payout schedule in your settings. Payouts are subject to Stripe's payout policies.

5.3 Refunds and Chargebacks

You are responsible for handling customer refund requests. Chargebacks (disputes initiated by cardholders) may result in the disputed amount being deducted from your account, plus applicable chargeback fees.

5.4 Taxes

You are solely responsible for determining, collecting, and remitting any taxes applicable to your transactions. While we provide tools to calculate GST/HST and PST, you remain responsible for tax compliance.

6. Invoicing

6.1 Invoice Accuracy

You are responsible for ensuring that invoices you create are accurate and comply with applicable laws. Invoices should accurately describe the goods or services provided.

6.2 Invoice Disputes

Disputes between merchants and customers regarding invoiced amounts are between those parties. Handipay is not responsible for resolving such disputes.

7. Intellectual Property

The Service, including its design, features, and content, is owned by Handipay and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

You retain ownership of content you create (such as invoices and business information), and grant us a license to use this content to provide the Service.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • ACCURACY OR RELIABILITY OF ANY INFORMATION
  • SECURITY OF DATA TRANSMISSION

We do not guarantee that the Service will meet your specific requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDIPAY SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE
  • LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • ANY AMOUNT EXCEEDING THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Handipay and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Disputes between you and your customers

12. Termination

12.1 By You

You may close your account at any time through your account settings or by contacting us. Outstanding balances must be settled before account closure.

12.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Have excessive chargebacks or disputes
  • Pose a risk to us, Stripe, or other users

We will provide notice of termination unless immediate action is required to prevent harm.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases. We will process any pending payouts for legitimate transactions. Sections regarding liability, indemnification, and dispute resolution survive termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@handipay.ca to attempt to resolve any dispute informally.

13.3 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the courts located in Toronto, Ontario, Canada. You consent to the personal jurisdiction of such courts.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must stop using the Service and close your account.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Handipay.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights to an affiliate or successor.
